These Terms of Service ("Terms") govern your access to and use of the website located at autoskus.com (the "Site"), which is operated by Auto Skus, LLC, a Michigan limited liability company doing business as The Auto SKUS Group ("Auto SKUS," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

The Site is a business-to-business informational and marketing site. It is not a platform for placing consumer orders and does not process payments.

1. Acceptance of these Terms

By accessing or using the Site in any way, including browsing pages, submitting a form, or downloading materials, you acknowledge that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy. If you are accessing the Site on behalf of a company or other legal entity, you represent that you are authorized to bind that entity to these Terms, and "you" refers to that entity and to you personally.

You may print or download reasonable portions of the Site for your internal business use, provided you keep all copyright and proprietary notices intact.

Use any robot, spider, or other automated device to access the Site in a manner that degrades performance or circumvents access controls;

Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use of it.

4. Intellectual property

The Site and all of its content, including text, graphics, logos, images, audio, video, data, software, and the "AUTO SKUS" wordmark and associated brand elements, are owned by Auto Skus, LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right or license to use any of our trademarks, trade names, service marks, or brand elements without our prior written consent.

Third-party names, logos, and product references that appear on the Site (including references to national retailers such as Walmart, AutoZone, Pep Boys, O'Reilly, and Advance Auto Parts) are the property of their respective owners and are used for identification purposes only. Their use does not imply any endorsement of, sponsorship of, or affiliation with Auto Skus, LLC unless expressly stated.

5. User submissions and communications

If you submit a form, request a line review, send an email, or otherwise share information or feedback with us through the Site ("Submissions"), you represent that you have the right to do so and that the Submission is accurate. You grant Auto Skus, LLC a non-exclusive, royalty-free, worldwide license to use the Submission in connection with responding to your inquiry and operating our business, subject to the Privacy Policy.

Unsolicited product ideas, concepts, or proposals are discouraged. If you nonetheless choose to send us any such material, you agree it is not submitted in confidence, and we have no obligation to treat it as proprietary or to refrain from using similar ideas already under development or obtained from other sources.

The Site may contain links to third-party websites or resources. We provide these links for convenience only, and their inclusion does not imply endorsement. Industry data, category analysis, retailer references, and forecast information published on the Site are derived from public sources and our own estimates and are provided "as is."

We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any defects will be corrected.

8. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Auto Skus, LLC or its members, managers, officers, employees, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, business interruption, or loss of goodwill, arising out of or in connection with your access to or use of the Site, any content on the Site, or any communications with us through the Site, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not we have been advised of the possibility of such damages. In no event will the total aggregate liability of Auto Skus, LLC arising out of or relating to the Site or these Terms exceed one hundred United States dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Auto Skus, LLC and its members, managers, officers, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to (a) your access to or use of the Site, (b) your violation of these Terms, (c) your violation of any law or the rights of a third party, or (d) any Submission you provide through the Site.

10. Governing law and venue

These Terms and any dispute arising out of or relating to them or your use of the Site are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles. You and Auto Skus, LLC consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Michigan for any action not subject to mandatory arbitration or small-claims jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where the changes are material, provide a more prominent notice on the Site. Your continued use of the Site after the effective date of the updated Terms constitutes acceptance of the changes.

12. General provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Auto Skus, LLC regarding your use of the Site and supersede any prior agreements on the same subject.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.

No waiver. Our failure to enforce any provision of these Terms will not be deemed a waiver of that provision or of our right to enforce it later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may freely assign these Terms.

No agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Auto Skus, LLC.
